a) Job Listings: companies must not post jobs that give preference to race, colour, ancestry, place of origin, age, gender, political belief, religion, marital status, family status, physical or mental disability, sexual orientation, or gender identity.

b) Work Contracts. If you want to hire a candidate, draft a job contract and fill in the agreement with specifics about the job and send it directly to the shortlisted candidate. Work contracts are legally binding contracts. Work contracts are sent to work professional when a job provider decides to hire the work professional. Any details contained in a work contract are solely the responsibility of the job provider and not of SkillzPlanet. If you require overtime or are anticipating overtime, you must include that information in the job contract. It is your responsibility to fill in instructions and details of any agreement before sending. It is not SkillzPlanet’s responsibility if you leave any details out and we are not obligated to change it for you after it has been confirmed. In order for the contract to be in effect, the worker must accept the job offer. When a work professional accepts a job, that automatically means accepting the contract agreement.

c) Confirming A work contract. Once a jo provider confirms a contract, the contract will be in effect. A job provider can choose to decline confirmation.

d) Changes To Work Contracts. If any changes to job details are required, the client must send a new agreement; the work professional must accept these new terms. If there are any changes after the job has already been accepted, the Job Seeker and client must agree to new terms otherwise current job terms hold true.

e) Cancellation Of Work Contracts. A job can only be cancelled after it has been accepted. If the work professional wishes to cancel the job, SkillzPlanet Tokens committed by you will be refunded to your wallet on our platform. If you initiate to cancel the job, SkillzPlanet Tokens you have committed for this job will not be refunded and you cannot pursue this matter.

f) Salary/Wages: SkillzPlanet in no way dictates what the salary is offered. SkillzPlanet is a platform to facilitate work professionals and job providers and do not engage in actual payment for the job. All rate of wages displayed are in local currency of the job provider and are subject to local and national taxes.

g) Payment: Wages will be paid directly by job provider. Wage payment for the executed contract will strictly be on job provider payroll system and policies. Wages must be paid in reasonable time. Work professionals should be paid whenever both parties agreed, or latest at the end of month, otherwise there may be legal and financial consequences. SkillzPlanet will act as a third-party providing platform and will not be liable for actual payment of the work contract. The agreement both parties agree to will include payment details, and if a job provider fails to act as agreed upon, the work professional may take legal actions against you. We have no obligation nor is it our responsibility to pursue any matters regarding payment between a worker and job provider. However, if any job provider refuses to pay according to any agreement between itself and a work professional, SkillzPlanet has the right to investigate and take appropriate action at our sole discretion.

9. Job Sharing: Confirmed work contracts can be shared with secondary work professional on SkillzPlanet with approval of the job provider. You do not need to send any agreement or initiate any process with the Secondary work professional. You only have to pay the Primary work professional of a job. You are not responsible for anything pertaining to the Secondary work professional.

10. Job Delegation: After confirming a work contract, work professionals will have the option of delegating the entire job to another work professional on Yaalk via Job Delegation option with approval of the job provider. If you approve delegation, you must send the same agreement but to a separate entity who is now becomes the primary work professionals.

11. Contract Renewal: If a job provider decides to renew the contract and continue to employ the work professional on the same terms, the user may accept or reject. Renewing a contract will mean committing SkillzPlanet Tokens proportionate to the length of the renewed contract.

12. Overtime. If you require work professionals work overtime but it wasn’t mentioned in the agreement, Job Seekers are not required to stay and work. You must include any overtime work details in the agreement including the amount of compensation for a certain amount of time.

13. Unexpected Scenarios. If a work professional does not show up or is late for work, SkillzPlanet will not be responsible for any aftermath. That is solely between you and the work professional. If any other unexpected scenarios occur, such as damaged equipment, SkillzPlanet is not responsible.

You must create an account and provide certain information about yourself (the organization) in order to use some of the features that are offered through the Service. You are responsible for maintaining the confidentiality of your account password. You are also responsible for all activities that occur in connection with your Account. You agree to notify us immediately of any unauthorized use of your Account.

As a business account, you need to be a paying customer to use our services other than those still on trial period. If your trial period ends and you do not subscribe to our monthly packages, your business account may be deactivated however, all prior engagements with work professionals shall be retained . Account reactivation will occur once you subscribe again.

You are responsible for any information you provide to SkillzPlanet, other users, work professionals, business accounts, or other entities. You assume all risks associated with your information, including anyone’s reliance on its quality, accuracy, or reliability, and any risks associated with personal information you disclose. You may not imply that your information is in any way sponsored or endorsed by SkillzPlanet. You may expose yourself to liability if, for example, your information contains material that is false, intentionally misleading, or defamatory; violates any third-party right, including any copyright, trademark, service mark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material that is unlawful, including illegal hate speech or pornography; exploits or otherwise harms minors; violates or advocates the violation of any law or regulation; or violates these Terms. Any of your information that is misused, such as if you send a stranger your address and it is leaked, is not the responsibility of SkillzPlanet and we have no obligation to be involved in this matter.

Health and Safety. If health and workplace injury or other safety measures are required for certain jobs, the job provider company must provide it. SkillzPlanet will not be liable for anything that happens regarding a Job Seeker’s health or safety. It is your responsibility to ensure work professionals health and safety at work place once a contract is in effect.

Local Laws: Job provider must abide by local laws, including labour laws and tax laws, such as minimum wages. If you do not abide by local labour laws, we are not responsible for any aftermath that may occur.

a) Suitability. In no way do we guarantee that you, the business account user, will be able to hire the perfect candidate or even a suitable one. We are simply a platform to connect you to Job Seekers. If you do not find any suitable candidates, we do not take any responsibility for that and you recognize you have no right to pursue SkillzPlanet for this reason.

b) Resume. Although the profiles of job seekers on SkillzPlanet undergo a stringent vetting process, however, SkillzPlanet cannot guarantee that a person’s resume reflects their actual experience or qualifications. If a person lies on their resume, we are not liable even if you have hired them and you acknowledge that we are not obligated in any way to pursue this matter. However, if we investigate and find that someone’s resume is indeed false or misleading, we have the right to take appropriate action at our sole discretion.

c) Experience. We do not guarantee any experience or qualifications that appear on a work professional’s profile. We are not responsible for any unfortunate events that may occur due to false or misleading experience or qualifications. However, if we investigate and find that a work professional’s experience or qualifications is indeed false or misleading, we have the right to take appropriate action at our sole discretion.

d) Productivity and Performance. We do not guarantee any productivity or performance levels of any work professionals on SkillzPlanet.

e) Criminal Records and Reference Checks. We may require work professionals to submit criminal record files and references, but cannot guarantee that any information is true based on criminal record and references. We are not responsible for any information that is provided by work professionals through SkillzPlanet.

f) Work professional’s Personal Information. Personal information provide to you by work professionals upon or after accepting a work contract, such as full address or phone number, is private information. You must sign a NDA with us to ensure private information of work professionals isn’t shared. Unless the work professional has given permission to you, you must not use their personal information in any way other than for hiring purposes or company records.

g) Reviews, Ratings, And Endorsements: Reviews, ratings, and endorsements of work professionals do not reflect SkillzPlanet’s opinion.

h) Disputes: Should disputes arise between job providers and work professionals, SkillzPlanet is not responsible for resolving these disputes and has no obligation to be involved in them. In no way do we guarantee that you, the business account user, will be able to hire the perfect candidate or even a suitable one. We are simply a platform to connect you to Job Seekers. If you do not find any suitable candidates, we do not take any responsibility for that and you recognize you have no right to pursue SkillzPlanet for this reason.

a) Communication Between User And Business Accounts: Prior to signing initial work contract with work professionals, job providers will use SkillzPlanet as the sole manner to communicate or interact with work professionals. If the Contract between the work professional and the job provider is cancelled SkillzPlanet platform, the work professional shall not perform the work circumventing it..

b) Buyout of work professionals on SkillzPlanet platform: If a job provider wishes to engage a work professional for fulltime position, they have to first complete the current contract in place if any, then pay a buyout conversion fee to SkillzPlanet. Even after buyout of a work professional, job providers must continue to use SkillzPlanet platform to hire other work professionals.

c) Pausing Or Terminating Service: Even if you pause or stop using our service (stop subscribing for one month or longer), this non-circumvention is binding for 2 years beginning your last interaction with a specific work professional. Violating it will subject you to legal and financial implications unless you or that worker opts out.

d) Third-Party Interference: Business accounts may not use third parties of any kind to interact with work professionals on behalf of them. This includes using another company or personal connection to interact with users. For example, using a third-party hiring agency to hire a work professional on our platform that you have communicated with on our Site. Doing so violates this agreement and we can take legal and financial actions against you.

e) Making Contact Through Yaalk: .

Users agree to use the communication services available on the Site to communicate with other Users prior to entering into a Service Contract. You agree that prior to entering into a Service Contract, you (a) will use Yaalk as the sole manner to communicate with work professionals; (b) will not provide your Means of Direct Contact (defined below) to any other work professional or another person that you identified or were identified by through the Site; (c) will not use Means of Direct Contact of another work professional to attempt to or to communicate with, solicit, contact, or find the contact information of a work professional outside of Yaalk; (d) will not ask for, provide, or attempt to identify through public means the contact information of another work professional; and (e) you will not include any Means of Direct Contact (defined below) or means by which your contact information could be discovered in any profile, proposal, job posting, invitation, or pre-hire communication through the Site’s communications services (including in each case in any attached file), except as otherwise provided on the Site.

For purposes of the Terms of Service “Means of Direct Contact” means any information that would allow another person to contact you directly, including, without limitation,, email address, physical address, a link to a contact form or form requesting contact information, any link to an applicant management system or means to submit a proposal or application outside of the Site, or any information that would enable a work professional to contact you on social media or other website or platform or application that includes a communications tool, such as Skype, Slack, Wechat, or Facebook. For the avoidance of doubt, information is a Means of Direct Contact if it would enable another work professional to identify any of the information above through other sources, such as going to a website that included an email address or identifying you on social media, such as through Facebook or LinkedIn. You agree to notify SkillzPlanet immediately if a Job Seeker or client attempts to contact you outside of the Site. If you are aware of a breach or potential breach of this non-circumvention agreement, please submit a confidential notice to SkillzPlanet.

f) Survival. Notwithstanding the foregoing, the provisions pertaining to Non- Circumvention shall survive the termination of this Agreement

g) Communicating Through The Site; Not Sharing Contact Details: Users agree to use the communication services available on the Site to communicate with other Users prior to entering into a Service Contract. You agree that prior to entering into a Service Contract, you (a) will use Yaalk as the sole manner to communicate with work professionals; (b) will not provide your Means of Direct Contact (defined below) to any other work professional or another person that you identified or were identified by through the Site; (c) will not use Means of Direct Contact of another work professional to attempt to or to communicate with, solicit, contact, or find the contact information of a work professional outside of Yaalk; (d) will not ask for, provide, or attempt to identify through public means the contact information of another work professional; and (e) you will not include any Means of Direct Contact (defined below) or means by which your contact information could be discovered in any profile, proposal, job posting, invitation, or pre-hire communication through the Site’s communications services (including in each case in any attached file), except as otherwise provided on the Site. For purposes of the Terms of Service “Means of Direct Contact” means any information that would allow another person to contact you directly, including, without limitation,, email address, physical address, a link to a contact form or form requesting contact information, any link to an applicant management system or means to submit a proposal or application outside of the Site, or any information that would enable a work professional to contact you on social media or other website or platform or application that includes a communications tool, such as Skype, Slack, Wechat, or Facebook. For the avoidance of doubt, information is a Means of Direct Contact if it would enable another work professional to identify any of the information above through other sources, such as going to a website that included an email address or identifying you on social media, such as through Facebook or LinkedIn. You agree to notify SkillzPlanet immediately if a Job Seeker or client attempts to contact you outside of the Site. If you are aware of a breach or potential breach of this non-circumvention agreement, please submit a confidential notice to SkillzPlanet.

h) Opting Out: You may opt out of the obligations in this Section with respect to each Yaalk Relationship only if the client or User pays SkillzPlanet a Conversion Fee which is a minimum of $2,500 CAD CAD for each Yaalk Relationship. Specific amounts and calculations will be provided upon opting out. If you opt out, this non-circumvention agreement between SkillzPlanet and yourself will be terminated with regards to the specific work professional you choose. Each work professional will require a separate opt out.

You understand and agree that if SkillzPlanet determines, in its sole discretion, that you have violated this Section , Yaalk or its Affiliates may, to the maximum extent permitted by law (a) charge your Payment Method 10 (ten) times the Conversion Fee (including interest) if permitted by law or send you an invoice for the Conversion Fee (including interest), which you agree to pay within 30 days, (b) close your Account and revoke your authorization to use the Site and Site Services, and/or (c) charge you for all losses and costs (including any and all time of Yaalk’s employees) and reasonable expenses (including attorneys’ fees) related to investigating such breach and collecting such fees. Furthermore, If you owe SkillzPlanet any monetary balance, we have the right to take legal actions against you. An account that is delinquent at the end of the term without approved resolution can be forwarded to a collection agency for appropriate action.

This Website and all content forming part of the Website, including without limitation, all photographs, ideas, images, designs, information, interfaces, text, graphics, brand names, logos and trademarks, are protected by copyright, trade mark and other intellectual property laws of Canada. You acknowledge and agree that SkillzPlanet owns, controls or is licensed all legal right, title and interest in and related to the Website, including all intellectual property rights. You may not:

• Modify or copy the idea of trade, layout or appearance of the Website or any computer software or code contained in the Website; and/or
• Decompile or disassemble, reverse engineer or otherwise attempt to discover or access any source code related to the Website.

You agree to indemnify, defend, and hold harmless SkillzPlanet and its representatives from and against any and all third party claims, actions, demands, losses, damages, costs, liabilities and expenses (including but not limited to attorneys’ fees and court costs) arising out of or relating to:
(i) your access to or use of the Service, including Your Content, (ii) your violation of the Terms, (iii) your breach of your representations and warranties provided under these Terms, (iv) any products or services purchased or obtained by you in connection with the Service, (v) your products or services, or the marketing or provision thereof to end users, or (vi) the infringement by you, or any third party using your Account, of any intellectual property or other right of any person or entity. SkillzPlanet reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without the prior written consent of SkillzPlanet. SkillzPlanet will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

You agree not to engage in any illegal activity, including and not limited to not to accessing (or attempt to access) the Site by any means other than through the interface that is provided by Yaalk, unless you have been specifically allowed to do so in a separate, written agreement with Yaalk. You agree that you will not engage in any activity that interferes with or disrupts the Site (or the servers and networks which are connected to the Site). Unless you have been specifically permitted to do so in a separate, written agreement with Yaalk, you agree that you will not crawl, scrape, reproduce, duplicate, copy, sell, trade or resell the Site for any purpose. Using or providing any false, fake, or fictitious name or contact information in connection with the Site is grounds for immediate termination of your Yaalk account and ability to use the Site.
You agree that you are solely responsible for (and that Yaalk has no responsibility or liability to you or to any third party for) any breach of your obligations under this Agreement and for any consequences (including any loss or damage which Yaalk may suffer) of any such breach.You agree that you shall not transmit to Yaalk or upload to or through the Site (whether as User Content or otherwise) any Harmful Code, or use or misappropriate the Site for your own commercial gain. “Harmful Code” shall mean any software (sometimes referred to as “viruses,” “worms,” “Trojan horses,” “time bombs,” “time locks,” “drop dead devices,” “traps,” “access codes,” “cancelbots” or “trap door devices”) that: (a) is designed to damage, disrupt, disable, harm, impair, interfere with, intercept, expropriate or otherwise impede in any manner, any data, storage media, program, system, equipment or communication, based on any event, including for example but not limited to (i) exceeding a number of copies, (ii) exceeding a number of users, (iii) passage of a period of time, (iv) advancement to a particular date or other numeral, or (v) use of a feature; or (b) would enable an unauthorized person to cause such result; or (c) would enable an unauthorized person to access another person’s information without such other person’s knowledge and permission.

The Parties hereby agree that all actions brought in respect of this Agreement, or any Services delivered pursuant to this Agreement, shall be brought before a Competent Court of British Columbia, and the parties hereby acknowledge the exclusive jurisdiction of the Competent Courts of Vancouver. Therefore, you agree that: Service shall be deemed a passive one that does not give rise to personal jurisdiction over us, either specific or general, in jurisdictions other than British Columbia.
This Agreement shall be governed by the internal substantive laws of Canada, without respect to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree to submit to the personal jurisdiction of a competent court located in, Canada, for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.

Service Availability. The Service may be modified, updated, interrupted, suspended or discontinued at any time without notice or liability

Location Access: By using SkillzPlanet Services, on Web or Websites, you give us, other users, and business accounts rights to access your location.

Communications. You consent to receive communications from us electronically. We will communicate with you by e-mail, phone calls or sms text messages. You agree that all agreements, notices, disclosures and other communications that SkillzPlanet provides to you elect

Third Party Content and Services: The Service may host Third Party Content, or include links to other websites or applications (each, a “Third Party Service”). We do not control or endorse any Third Party Content or Third Party Service. You agree that we are not responsible for the availability, accuracy, or content of any such Third Party Content or Third Party Service. Your use of and reliance on any Third Party Content or Third Party Service is at your own risk. Some of the services made available through the Service and Third Party Services may be subject to additional third party terms of service, privacy policies, licensing terms and disclosures, and other terms, conditions, and policies, including without limitation the ones posted here. It is your responsibility to familiarize yourself with any such applicable third party terms. Users will indemnify, defend and hold harmless SkillzPlanet, its agents, affiliates, licensors, and Partners from any third party claim or liability (including without limitation reasonable legal fees) arising out of third parties accuracy Terms & Conditions.
